Dialback Service Agreement · Effective October 7, 2026
The short version: websites are $499 one-time after you approve a free mockup (non-refundable once approved), plus $29/month for hosting & care. Missed-Call Text-Back is a 7-day free trial, then $59/month. No contracts, and you can cancel monthly services anytime.
The text-back service is only for replying to people who called you, never for marketing. The full terms below are what apply.
1. Parties and services
This agreement is between Dialback LLC, a Michigan limited liability company that provides services under the brand name Dialback ("Dialback," "we"), and the business purchasing Dialback services, represented by the person who accepts these terms ("Client," "you"). It takes effect on the date you first pay for or start a trial of any Dialback service.
Website Build: design and build a website for your business (Sections 2 and 4).
Hosting & Care: host and maintain that website for as long as you keep the monthly plan (Sections 3 to 5).
Missed-Call Text-Back: automatically text people back when you miss their call (Section 6).
This agreement covers only the services you sign up for. Sections 7 and 8 apply to all of them.
2. Website Build
Free mockup first. You see a mockup before paying anything. You owe nothing if you don't approve it.
Fee. Once you approve the mockup, the Website Build is $499 one-time (or the price quoted to you in writing), paid through the Dialback Stripe payment link. If you need to pay by check, contact Dialback first for payment details.
Revisions. The fee includes up to two rounds of revisions before launch. Changes beyond that, or new pages and features not in the approved mockup, are quoted separately before any work starts.
Timeline. Dialback aims to launch within 14 days of receiving payment and all content listed in Section 4. Delays in receiving your content extend the timeline.
Non-refundable. The build fee is non-refundable once you approve the mockup and pay, because the design work has already been done.
3. Hosting & Care
Hosting & Care is $29/month, billed automatically through Stripe starting the day your site goes live. Dialback can change the price with at least 30 days' written notice.
Included
Hosting, HTTPS security certificate, and your domain registration and renewals
Uptime monitoring and a monthly check that your phone number, hours, and contact form still work
Small content updates on request, such as hours, services, photos, reviews, or prices, usually done within 3 business days
An offer once a year to refresh photos and wording
Not included (quoted separately before any work): new pages, redesigns, online booking or payments, logo design, and paid ads or SEO campaigns.
4. Ownership and your content
Your domain is yours. It is registered in your business's name, and Dialback manages it for you while you're on Hosting & Care.
Your content is yours. Your business name, logo, photos, reviews, and text stay your property.
Site files. Once the build fee is paid, you own the finished website. Dialback keeps the right to reuse its general layout, code, and design patterns for other clients. Dialback may list your site as an example of its work unless you ask it not to.
What you provide. Accurate business details (name, phone, address, hours, services), your real customer reviews, and any photos or logo you want used.
You confirm your content is accurate and yours to use. Reviews must be real reviews from real customers. Claims such as certifications, years in business, or warranties must be true. Photos must be ones you own or have permission to use. Dialback will not publish made-up reviews or claims you haven't approved.
Placeholders. Any sample text or reviews in the mockup are placeholders and will be replaced with your real content before launch.
5. Website cancellation
No contract. You can cancel Hosting & Care anytime by text, email, or through the Stripe billing link.
When it ends. Service runs through the end of the month you've paid for. Partial months are not refunded, and you won't be charged again.
After you cancel. Your site goes offline at the end of the paid month. Dialback will send you the site files if you ask within 30 days, and will help transfer your domain to an account you control.
Missed payments. If a monthly payment fails and isn't fixed within 14 days of Dialback notifying you, Dialback may take the site offline until the payment is caught up.
Dialback ending service. Dialback may end service with 30 days' written notice. If it does, it will hand over your site files and domain.
6. Missed-Call Text-Back
How it works. Dialback gives you a dedicated phone number. You set your business phone to forward unanswered calls to it. When a call forwards, Dialback automatically sends the caller one text with wording you approve (for example: "Sorry we missed your call from [Business]! We'll get back to you shortly.").
Trial and billing
The service starts with a 7-day free trial. If you don't cancel before the trial ends, it continues at $59/month, billed automatically through Stripe.
No contract. Cancel anytime; service runs through the end of the paid month, and partial months are not refunded.
Dialback can change the price with at least 30 days' written notice.
There are no per-text fees for normal use. Dialback may contact you about unusually high volume that suggests misuse (for example, thousands of texts in a day).
Your responsibilities
Call forwarding. You set up and maintain forwarding with your phone carrier. Any carrier charges for forwarding are yours. How your carrier handles forwarding can change how your voicemail behaves; Dialback will help you test it.
Only reply to callers. The service may only be used to text people who called your business, about their call. You will not use the Dialback number to send marketing, promotions, bulk messages, or texts to anyone who didn't call you.
Follow texting laws. You are responsible for complying with the Telephone Consumer Protection Act (TCPA), carrier and CTIA messaging rules, and any other laws that apply to your texts. Sending marketing texts requires separate written consent from each recipient, which this service does not collect for you.
Opt-outs. If someone replies STOP (or similar), they will not receive further automated texts from your Dialback number. You agree not to contact them by text again through the service.
No prohibited content. No texts involving illegal activity, adult content, hate speech, harassment, cannabis, firearms, alcohol, tobacco, or debt collection.
Accurate information. You'll give accurate business details. You authorize Dialback to register your business with phone carriers and its messaging provider as required to send texts (for example, A2P 10DLC registration). Service may be delayed until registration is approved.
The Dialback number. Dialback leases your number from its messaging provider, so the number belongs to Dialback, not you. Your own business number stays yours and is never transferred.
Not for emergencies. The service is not a phone line, answering service, or emergency service. Don't rely on it for urgent or time-sensitive calls.
Delivery. Carriers can delay, filter, or block texts, and some phones (such as landlines) can't receive them. Dialback does not guarantee that every text will be delivered or that every missed call will trigger one.
Suspension. Dialback may suspend the service immediately, without refund, if it is used in violation of this section, receives spam complaints, or a carrier or the messaging provider requires it.
When you cancel
Turn off call forwarding on your phone when you cancel. Dialback will send you the steps.
Dialback keeps your number active for 7 days after service ends so forwarded calls aren't lost while you switch forwarding off. After that the number may be released, and any calls still forwarded to it will not go through. Dialback is not responsible for calls lost because forwarding was left on.
Your business contact details and the information needed to provide the services.
For Text-Back: the phone numbers of people who call and are texted, the times of those calls and texts, and the content of messages sent and received through your Dialback number.
For websites: messages submitted through your site's contact form, which are forwarded to you.
Payments are processed by Stripe. Dialback never sees or stores your full card number.
How it's used. Only to provide, support, and fix the services, and to meet legal and carrier requirements. Dialback does not sell your data or your callers' data, and does not use it for its own marketing.
Who it's shared with. Only the service providers needed to run the services (such as Twilio for texting, Stripe for payments, and the website host, domain registrar, and form service), or when required by law.
How long it's kept. Call and message records are kept only as long as needed to run the service and meet legal and carrier requirements, and are deleted or anonymized within a reasonable time after you cancel.
How it's protected. Dialback uses reasonable safeguards to protect the accounts that run your services, limits access to Dialback's owner and the service providers it uses, and uses HTTPS on every website it hosts. No system is perfectly secure, so Dialback cannot guarantee against every breach.
If something goes wrong. If Dialback learns of unauthorized access to your data, it will notify you promptly and tell you what it knows, and will give any notices required by Michigan law.
Your side. Keep your own accounts secure. Dialback will never ask for your passwords or full card numbers by text or email. Tell Dialback right away if you think something has been compromised.
Your customers' privacy. You are responsible for how you use caller information and form messages you receive, and for any privacy notices your own business is required to give.
8. Liability and general terms
Uptime. Dialback uses reliable hosting and monitors your services, but can't guarantee they will never go down. Outages caused by the hosting provider, domain registrar, messaging provider, phone carriers, or internet issues are outside Dialback's control. Dialback will work to restore service as quickly as reasonably possible.
Third-party services. The services rely on outside providers (such as the web host, domain registrar, form service, Twilio, and Stripe). Their terms and outages are outside Dialback's control, and Dialback may switch providers if needed without lowering the service you receive.
Provided "as is." Apart from what this agreement promises, the services are provided "as is," without other warranties of any kind.
No guaranteed results. Dialback does not guarantee search rankings, website traffic, calls, leads, or sales.
Your legal compliance. Dialback follows common good practices (such as readable text, image descriptions, and a basic privacy notice), but does not give legal advice or guarantee that your website or texting meets every law that applies to your business. You are responsible for your own business's legal compliance.
Limit of liability. Dialback's total liability under this agreement is limited to the amount you paid Dialback in the 3 months before the claim. Neither party is liable for lost profits, lost business, missed calls or leads, or indirect damages.
Your responsibility for your use. You are responsible for the accuracy and legality of the content you provide (Section 4) and for how you use the Text-Back service (Section 6). You agree to cover Dialback's costs, including reasonable legal fees, fines, and damages, if a claim arises from your content or your texting.
Payment disputes. If you have a billing problem, contact Dialback first. Disputing a charge with your bank without contacting Dialback may result in the service being suspended until it's resolved.
Taxes. Prices don't include any taxes that may apply.
Confidentiality. Each party will keep the other's non-public business information private and use it only for this agreement.
Independent contractor. Dialback is an independent contractor, not your employee, partner, or agent.
Events beyond control. Neither party is responsible for delays caused by events outside its reasonable control, such as natural disasters, power or internet outages, or provider failures.
Notices. Notices can be sent by email or text to the contact information each party has on file. Keep yours up to date.
Changes to these terms. Dialback may update these terms with at least 30 days' notice. If you keep using the services after that, the new terms apply; if you don't agree, you can cancel before they take effect.
Disputes. Both parties will first try to resolve any disagreement by talking it through in good faith. If that fails, claims will be brought in the courts of the county in Michigan where Dialback is based, including small claims court where eligible.
Transfer to a successor. Dialback may transfer this agreement to a successor business, for example if it is sold or reorganized, by giving you written notice. Your terms and pricing stay the same.
Governing law. This agreement is governed by the laws of the State of Michigan.
Whole agreement. This document is the full agreement between us. Changes must be in writing, and a text or email both parties agree to counts as writing. If any part is found unenforceable, the rest still applies.
9. Acceptance
You accept this agreement by checking the terms box at checkout, or by paying for or starting a trial of any Dialback service after receiving it. You confirm that you are at least 18 and authorized to agree on behalf of your business.
If you'd like a signed copy, ask and Dialback will send one for both parties to sign. A signed copy is optional; acceptance at checkout or by paying is binding on its own.
